TIM * NOMINE: « PIETRO LABRIOLA NUOVO DIRETTORE GENERALE DELLA SOCIETÀ, IL CONSIGLIERE LUIGI GUBITOSI RIMETTE LE DELEGHE DI AMMINISTRATORE DELEGATO E LASCIA LA CARICA DI D.G. »

Il Consiglio di Amministrazione di TIM S.p.A. (“TIM”), riunitosi oggi sotto la presidenza di Salvatore Rossi, ha preso atto della remissione delle deleghe da parte del dottor Luigi Gubitosi e, avendola accettata, ha deliberato di revocare Luigi Gubitosi dalle cariche di CEO e Direttore Generale della Società e dai relativi poteri, procedendo, quindi, ad un riassetto della governance e alla riallocazione delle deleghe. Il Dott. Luigi Gubitosi rimane consigliere di amministrazione. Gubitosi detiene n. 3.957.152 azioni TIM.

Il Presidente Salvatore Rossi, a nome dell’intero Consiglio di Amministrazione, esprime il suo ringraziamento più sentito per il lavoro svolto al Dott. Gubitosi.

Su proposta del Comitato Nomine e Remunerazione, in applicazione del Piano di successione della Società, il Consiglio ha deliberato di nominare come Direttore Generale, Pietro Labriola, che manterrà la carica di CEO della controllata TIM S.A., determinandone attribuzioni, facoltà e poteri, in modo da garantire assoluta continuità e stabilità nella gestione aziendale. Le suddette deliberazioni sono soggette alle comunicazioni e determinazioni di tutte le Autorità ed altri soggetti coinvolti.

Al contempo al Presidente Salvatore Rossi sono state attribuite responsabilità e deleghe relative a Partnership & Alliances, Institutional Communications, Sustainability Projects & Sponsorship, Public Affairs, nonché la responsabilità di gestione degli assets e delle attività di TIM di rilevanza strategica per il sistema di difesa e di sicurezza nazionale.

Il nuovo assetto di vertice della società garantisce da subito, nell’interesse di tutti gli stakeholder, la piena operatività del Gruppo. Assicura, inoltre, in una fase così articolata una guida coesa, salda e determinata nella piena valorizzazione delle capacità operative della società e del posizionamento sul mercato, nel rispetto del ruolo di tutti gli azionisti e degli altri stakeholder coinvolti. La soluzione di governance individuata costituisce un passo essenziale del processo di CEO Succession Planning, sul quale continua l’impegno del Consiglio nel suo insieme e, in particolare, del Comitato per le Nomine e la Remunerazione, assistito dall’advisor Spencer Stuart. Impegno teso a definire una leadership esecutiva di medio termine della società stabile e duratura, che tenga conto dell’evoluzione dell’assetto societario complessivo di TIM e del relativo perimetro di attività.

Pietro Labriola vanta un’esperienza professionale tutta spesa all’interno del settore delle telecomunicazioni. Negli ultimi 20 anni ha operato all’interno del Gruppo TIM in ruoli diversificati di crescente responsabilità fino ad assumere la guida complessiva delle attività del Gruppo in Brasile. L’assoluta internazionalità e la riconoscibilità come uno dei maggiori esperti delle tematiche relative al mondo delle telecomunicazioni e all’innovazione caratterizzano il suo profilo.

Pietro Labriola non risulta in possesso di azioni TIM. Si allega il curriculum vitae.

Il Presidente Rossi, ha dichiarato: “Esprimo a titolo personale e del Consiglio tutto, grande soddisfazione per la nomina di Pietro Labriola a nuovo Direttore Generale di TIM. Questa nomina mostra ancora una volta il valore del management della società e la capacità di valorizzare competenze, merito ed innovazione”.

Dal canto suo Pietro Labriola ha espresso un sentito ringraziamento al Consiglio di Amministrazione per la fiducia dimostrata e ha assicurato il massimo impegno nell’accompagnare TIM nel suo percorso di sviluppo.

Per agevolare i processi interni in una fase di intenso lavoro, il Consiglio di Amministrazione ha deliberato di dotarsi di un Lead Independent Director, con le attribuzioni previste dal Codice di corporate governance di Borsa Italiana, chiamando ad assumere la carica la Consigliera Paola Sapienza.

Il Consiglio di Amministrazione, infine, in relazione alla manifestazione di interesse indicativa e non vincolante inviata da Kohlberg Kravis Roberts & Co. L.P. (“KKR”), in data 19 novembre u.s. (la “Manifestazione d’Interesse”), riservandosi di valutare ogni opzione strategica nell’interesse della società e degli stakeholder ha istituito, su proposta del Comitato per il Controllo e Rischi un Comitato ad hoc costituito dal Presidente del Consiglio di Amministrazione e da quattro Amministratori Indipendenti: il Lead Independent Director e gli Amministratori Paolo Boccardelli, Marella Moretti e Ilaria Romagnoli.

Il comitato avvierà tempestivamente e svolgerà, con il supporto degli advisor che all’uopo provvederà ad incaricare, tutte le attività istruttorie propedeutiche all’analisi del contenuto della Manifestazione non vincolante. Le attività e istruttorie del comitato saranno condotte secondo le migliori prassi al fine di consentire al Consiglio di valutare compiutamente la portata, il contenuto, le condizioni e le conseguenze della Manifestazione non vincolante, nonché maturare e assumere, in maniera adeguatamente informata, le determinazioni in relazione alla stessa per quanto di propria competenza.

The Board of Directors starts its review of KKR’s non-binding indication of interest

The Board of Directors of TIM S.p.A. (“TIM”) met today, under the chairmanship of Salvatore Rossi, to acknowledge Mr Luigi Gubitosi’s resignation. Having accepted his resignation, the BoD passed resolution to relieve Mr Luigi Gubitosi of his position as CEO and General Manager of the Company and remove his respective powers; the Board then proceeded to reorganise the governance and reallocate said powers. Mr Luigi Gubitosi remains a member of the Board of Directors. Mr Gubitosi holds 3,957,152 shares in TIM.

On behalf of the entire Board of Directors, Chairman Salvatore Rossi expressed his heartfelt thanks for Mr Gubitosi’s work.

At the proposal of the Nomination and Remuneration Committee, and in application of the Company’s succession plan, the Board resolved to appoint Pietro Labriola as General Manager, who will remain CEO of the subsidiary TIM S.A., determining his duties and powers, so as to ensure the absolute continuity and stability of company management. The aforementioned resolutions shall be subject to the communications and determinations of all the authorities and other parties involved.

At the same time, the Chairman Salvatore Rossi was assigned responsibilities and powers relating to Partnership & Alliances, Institutional Communications, Sustainability Projects & Sponsorship, Public Affairs, as well as responsibility for managing TIM’s assets and activities of strategic importance for the national defence and security system.

The new top management structure of the company guarantees full operativity of the Group in the interest of all the stakeholders. It also ensures, in such a complex phase, cohesive, firm and determined leadership, able to fully exploit the company’s operational capabilities and market positioning, while respecting the role of all the shareholders and other stakeholders involved. The governance solution identified is an essential step of the CEO Succession Planning process, which the Board as a whole and in particular the Nomination and Remuneration Committee, assisted by the advisor Spencer Stuart, is continuing to work on. A commitment aimed at defining a stable and lasting medium-term executive leadership of the company, which takes into account the evolution of TIM’s share ownership structure and its scope of activities.

Pietro Labriola has a wealth of professional experience spent entirely in the telecommunications industry. Over the last 20 years he has worked within the TIM Group in a variety of positions of increasing responsibility until he took over global leadership of the Group’s activities in Brazil. His profile is characterised by his international dimension and recognition as one of the leading experts in the world of telecommunications and innovation.

Chairman Rossi declared: “I would like to express great satisfaction with the appointment of Pietro Labriola as TIM’s new General Manager, on my own behalf and on that of the entire Board. This appointment once again demonstrates the value of the company management and its ability to reward skills, merit and innovation.”

Pietro Labriola expressed his heartfelt thanks to the Board of Directors for the trust placed in him, and assured it of his utmost commitment to supporting TIM’s path of development.

In order to facilitate the internal processes during an intense work phase, the Board of Directors has resolved to appoint a Lead Independent Director with the powers set out in the Corporate Governance Code of Borsa Italiana, calling upon Ms Paola Sapienza to take on the role.

Lastly, in relation to the indicative and non-binding indication of interest sent by Kohlberg Kravis Roberts & Co. L.P. (“KKR”) on 19 November this year (the “Indication of Interest”), reserving the right to review every strategic option in the interest of the company and its stakeholders, the Board of Directors set up – on the proposal of the Control and Risk Committee – an ad hoc committee made up of the Chairman of the Board of Directors and four Independent Directors: the Lead Independent Director and the Directors Paolo Boccardelli, Marella Moretti and Ilaria Romagnoli.

The committee shall promptly initiate and carry out, with the support of the advisors it appoints for this purpose, all preliminary activities to prepare for the examination of the content of the non-binding Indication of Interest. The committee’s activities and preliminary examinations shall be conducted in accordance with best practices to enable the Board to fully assess the scope, content, conditions and consequences of the non-binding Indication of Interest, and to make adequately informed decisions in relation thereto to the extent of its competence.
